2.  Acceptance.

2.1  Acceptance of this offer  can be made by any commercially reasonable means, including your issuance of a purchase order or acceptance, or your return of an attached acknowledgment form.  If you use your own purchase order, acceptance, or other form, such form shall be used for convenience only, and shall evidence your unconditional agreement to these terms.  Any additional or different terms appearing in such form shall not be binding upon us.

2.2  After you accept this offer, you are not entitled to cancel or amend it or cause the manufacture or shipment of the goods to be delayed or stopped except with our consent.  A restocking charge of 15% shall apply to any returned goods which we agree to accept.

3.  Price and Payment.

3.2  If the offer  does not specify payment terms, terms are net 30 days after the date of our invoice.  Any invoices not paid when due shall bear interest at 1.5% of the outstanding balance per month.

3.3  Prices do not include taxes or other governmental charges.  We will invoice you for any such taxes or charges together with penalties and expenses, if any.  If applicable, you will provide us with a tax exemption certificate acceptable to the taxing authority.

3.4  Goods not manufactured by us will be invoiced at prices stated in the offer, subject to proportionate increases should any of our suppliers increase our cost of such goods.

4.  Delivery.

4.1  The proposed delivery date stated in this offer is our good faith estimate based on current conditions, but we reserve the right to change it upon notice to you if conditions change.

4.2  If the offer does not specify delivery terms, delivery is F.O.B our factory.

4.3  We have no liability to you or any third party for any loss, damage, or expense from any delay in delivery or failure of performance due to any cause beyond our control, including fire or other casualty; strike or labor difficulty; accident; war conditions; riot or civil commotion; terrorism; government regulation or restriction; shortages in transportation, power, labor or material; freight embargo; default of our supplier; or events which render performance commercially impracticable or impossible.

4.4  Any goods offered for delivery are subject to prior sale, and are offered on a first come, first serve basis.  Upon giving notice to you of a delay in accordance with the Uniform Commercial Code, we reserve the right to allocate goods produced by us among our customers.

5.  Risk of Loss.  Delivery of goods to a carrier by us, consigned to you or your order as you may direct, shall be complete delivery to you of title, ownership, and possession of the goods.  You assume risk of loss, damage, or shortage in transit and shall be responsible for pursuing all claims with the carrier or carrier’s insurer.  You must provide us with notice of any shortage of goods, delivery of non-conforming goods, loss, or damage within 10 days of receipt of the goods, and if no such notice is given, you waive any right to assert such matters.

6.  Drawings and Specifications.

6.1  You will cooperate with us and furnish any drawings, specifications, or information reasonably requested by us with respect to the goods within a reasonable time after such request.

6.2  The drawings, specifications, computer media, documents, samples, or other information we furnish you in connection with the goods may comprise in whole or part trade secrets that are proprietary to us and protectable by law.  You agree that you will disclose the trade secrets only to your employees and agents on a “need-to-know” basis, will take reasonable measures to prevent disclosure of the trade secrets to any other persons, and will return to us or destroy any information containing the trade secrets after your need for the information ends, or upon our demand.

6.3  We are not obligated to treat as confidential any disclosure made by you to us, unless we give our consent otherwise.

7.  Collection.

7.1  You will furnish us with a completed credit application using our form, your current financial statements, and such other documents as we reasonably request at any time in connection with the analysis and determination of your creditworthiness and financial capability.

7.2  If any proceedings are filed by or against you in bankruptcy, or for appointment of a receiver or trustee, or if you make an assignment for the benefit of creditors, we have the right to discontinue production and deliveries under this offer  and receive full reimbursement for all costs incurred plus a reasonable profit.

7.3  If we have reasonable grounds, in our sole discretion, for insecurity as to your payment or performance, we may refuse to manufacture or deliver the goods until we receive adequate assurances of your payment or performance, in such form as we reasonably request.

7.4  If we have reason to believe, in our sole discretion, that you are or are about to become insolvent, we have the right, at our option, to:  (1) withhold delivery of goods; (2) stop delivery of goods in transit; (3) reclaim goods delivered to you while insolvent, as permitted by law; (4) immediately change payment terms to C.O.D., or require a bank standby letter of credit as security; or (5) exercise any other remedy available to us under law.

7.5 You grant us a purchase money security interest in the goods to secure payments due from you to us.  You authorize us to file a financing statement to evidence the security interest.  We have all of the rights and duties of a secured party, and you have all of the rights and duties of a debtor, under the Uniform Commercial Code.

7.6  You will reimburse us upon demand for all costs and expenses, including attorneys’ fees and court costs, incurred in collecting any amounts due.

8.  Warranty.

8.1  For a period of one year from date of delivery, we warrant that the goods manufactured by us shall conform to the specifications in our specification sheet for the goods current on the date of this offer.  We make no warranty with regard to goods not manufactured by us, but we do assign all of our rights under the warranty made by the manufacturer (if any) to you, to the extent the rights are assignable.

8.2  The warranty contained in this offer is the only warranty extended by us and is extended to you only and not to any successors, assigns, purchasers, users, third parties, employees, or agents. This limited warranty is in lieu of all other warranties, express or implied, including any warranties of merchantability or  fitness for a particular purpose.  We disclaim any warranties given via any other document, computer media, verbal or written communication, or sample.

9.  Limitations on Liability.

9.1 We are liable for defects in liner goods directly attributable to the design or manufacture of the liner material only. Liner material must be handled and processed based on our specifications. We are not liable for material or sealing failures or other defects due to variables out of our control, including liner printing by you, liner piercing or hole punching, insertion of valves, vents, or other fitments into liner, liner die cutting, liner insertion, closure or container dimensions, closure or container defects, closure storage and closure shelf life, and the filling, capping and induction processes.  We are not liable for material or sealing failures due to over-processing, including excessive induction settings, excessive dwell time in the induction unit, or high fill temperature.  We are not liable for material or sealing failures, or injuries, losses, or damages resulting from alterations, modifications, or additions to the goods.

9.2  We are liable for a defect in liner goods only if you have demonstrated that you have taken all reasonable efforts to minimize the amount of liner goods involved and the extent of the damage to property or persons, including the following at your facilities, at facilities using the goods, and at facilities filling containers:

9.2.1 First in-first out of all liner material and lined closures.

9.2.2 Compliance with shelf life and storage specifications for the liner material and lined closures.

9.2.3 Full documentation and performance of all on-line quality checks, including an appropriate sampling plan, defined action plan on problem identification, and set up and calibration procedures, according to our specifications.

9.2.5 Incoming and in-process inspection of the liner material during the liner process.

9.2.6 Proper set up and maintenance procedures for liner die-cutting and insertion operation.

9.2.7 Systems that guarantee full traceability from roll of liner material to individual cartons of lined closures and from individual cartons of lined closures to individual filled containers.

9.3  Our obligations upon breach of warranty or other provision are limited, at our election, to the repair or replacement of goods or crediting to you of an amount not to exceed the purchase price of the goods.  We are only obligated to repair, replace or credit the purchase price for goods which our examination discloses to have been defective under ordinary and normal use.  You must give us notice of such breach of warranty or other provision at our home office, within 30 days after you discover such breach or should have discovered such breach using reasonable care, and if no such notice is given, you waive the right to assert such matters.

9.4  We are not liable for payment of any consequential, incidental, indirect, punitive, special or tort damages of any kind, including any loss of profits.  We are not liable for any expenses incurred by you in repairing defective parts or supplying any missing parts, except with our consent.  If we agree to replace or repair a defective part, you will pay the cost for procuring and providing all necessary dismantling, reassembling, and handling facilities, and for freight and insurance for shipment of goods or parts to and from us.

9.5  The limitations on our liability contained in this offer apply regardless of whether the form of the claim against us is based on contract, negligence, strict liability, or tort law.

10.2 You indemnify us, and our employees and agents from any loss, damage, or expense (including reasonable attorneys’ fees), by reason of any injury to or death of any person or damage to any property, arising out of (1) any breach of your obligations under this offer or (2) any actions or omissions by you or your employees or agents concerning or related to the goods, including, negligence or reckless conduct, maintenance of the goods, additions or modifications to the goods, or use of the goods.

10.3  You will notify us, within 10 days after its occurrence, of any accident or malfunction involving any goods which results in injury to or death of persons,  or damage to property, or the loss of its use.  You will cooperate fully with us in investigating and determining the cause of any such accident or malfunction.

11.  Patents.

11.1 We indemnify you from any loss, damage, or expense (including reasonable attorneys’ fees) directly caused by any infringement of a United States patent arising out of the purchase, sale or use of goods designed and manufactured by us so long as you give us prompt notice of any such claim and complete authority to direct its defense.  You will give us reasonable assistance in defense of any claimed infringement without charge.  If any part of the goods designed and manufactured by us are held to infringe any United States patent, and the use of the goods is enjoined, we will, at our election and as your sole remedy, procure for you the right to continue using the goods, replace them with noninfringing goods, modify the goods so as to become noninfringing, or refund the purchase price.  Our liability under this section shall be limited to the purchase price and the transportation and installation costs of the goods.  We grant no license, express or implied, other than your right to use the goods in the form delivered by us.

11.2  You indemnify us from any loss, damage, or expense (including reasonable attorneys’ fees) directly caused by any infringement of any United States patent arising out of the manufacture, service or sale of goods which are manufactured or serviced by us, but which are designed by you or your employees or agents.

12.  Special Printed Products.

12.1  The provisions in this Section 12 apply to those instances where we are furnishing printing services related to the goods.

12.2  Artwork Approval Process. You will submit your original artwork to us within 10 days after the date of this offer.  We will submit revised artwork along with the original copy for your review and approval, prior to preparation of the printing plate.  You will promptly return corrections to us on a master set marked either:  (a) “O.K.”, if the master set meets with your approval; (b) “O.K. with corrections”, if the master sets meets with your approval, provided that corrections you inserted on the master set are made by us; or (c) “Revise proof”, if you do not authorize preparation of the printing plate until revised artwork is submitted to you.  Each correction shall be in writing and signed by you, and may be submitted by fax or email.  Until the master set is received by us, we will not prepare the printing plate or print the goods.  We are not liable for undetected printing errors or omissions if:  (a) revised artwork is not required by you; (b) the revised artwork is accompanied by your O.K., or your O.K. with corrections, provided that we have made such corrections; or (c) your request for corrections is communicated orally.  Except for the obligation to make corrections as stated in this section, we have no liability or obligation for errors or omissions in printing of any kind.  Our liability and obligation for errors or omissions in printing are limited, at our election, to the repair or replacement of the goods or crediting to you of an amount not to exceed the purchase price of the goods.

12.3  Bar Codes. We do not warrant or represent that bar codes or UPC symbols (if any) printed by us on the goods will scan correctly or be scanable by scanning machines.  If you give us notice of any problems concerning the scanability of bar codes or UPC symbols which we have printed on the goods, which specifies the problem in reasonable detail and prescribes corrective action, then we will make commercially reasonable efforts to take the corrective action you specify.  Unless we receive such notice from you, we will not be liable for the failure of the bar codes or UPC symbols on any of the goods printed at our plant to scan.

12.4 Coupons and Game or Contest Pieces.  If any of the goods include coupons, or game or contest pieces printed by us, you acknowledge that our role is to merely print the coupons, or game or contest pieces on the goods, and that we do not die-cut the coupons or pieces, or select them for insertion in caps or placement on containers.  We are not liable for any errors or omissions in die-cutting, coupon or game or contest piece selection, or coupon or game or contest piece insertion into caps or on containers.  We are also not liable for any claims based on, arising from, or related to the redemption value or exchange value of coupons, or game or contest pieces.  You acknowledge that our production process may require that we print more coupons, or game or contest pieces than the quantity specified in this offer.  If we do so, we will notify you that an excess quantity has been printed, and deliver the excess quantity to you.

12.5 Preparatory Work and Supplies. You acknowledge that all artwork, revised artwork, and preparatory work shown to you are intended to illustrate the general type and quality of the printing work, but are not intended to represent the actual printing work as performed.  Art work, type, plates, negatives, positives, tapes, disks, electronic files, excess liner material, excess ink, work in process, spoiled printing, and all other items supplied by us constitute our property and will remain with us following delivery of the goods.

12.6 Copyrights. You warrant and represent to us that the subject matter to be printed on the goods is not copyrighted by a third party.  You also recognize that since the subject matter does not have to bear a copyright notice in order to be protected by copyright law, the absence of such notice does not necessarily assure a right to reproduce.  You further warrant and represent to us that no copyright notice has been removed from the subject matter for reproduction.  You agree to indemnify us for all liability, damages, and attorney fees that may be incurred in any legal action connected with copyright infringement involving goods printed by us.

12.7 Security Materials. The term “security materials” means materials specified by you which are intended to provide a means of uniquely identifying products.  The security materials may be overt, visible to the human eye, or covert, undetectable by the human eye.  Examples include holographic foils, color shift inks, black light indicating inks, pre-press applications, watermarks, taggets, or any other security materials that you may specify to us.  If the goods include any security materials, and you so request, then we shall use commercially reasonable efforts to follow your written procedures regarding the security materials, provided that we have reviewed and approved in writing the procedures.  You agree that we have no liability or obligations with regards to the application, use, or loss of security materials, except as stated in your written procedures which we have reviewed and approved in writing.  We do not warrant or represent that the security materials specified by you will be effective in practice to uniquely identify the product or container with respect to which our goods are used.  You acknowledge that the nature of our production process does not allow us to track and account for 100% of the security materials due to normal and customary loss of security materials in production.  Accordingly, any requirement that we track and account for security materials shall make allowance for such normal and customary loss.

12.8  Disposal of Scrap. Absent any notice from you to the contrary, you authorize us to dispose of security materials and scrap goods by customary disposal methods used by us at the time the goods were produced.  You have the right, however, to direct us by notice to dispose of scrap, consisting of scrap security materials or scrap goods, in a secure manner, such as by disposal through a bonded trash disposal firm or bonded carrier, shredding, or incineration.  We will use commercially reasonable efforts to use the disposal method you have specified in your notice.  Any additional cost incurred by us on account of your specified secure disposal method (including out of pocket costs and our internal costs) shall be paid by you.

12.9  Inspection. We require that you or your bonded agent attend all trials and production runs for printing on the goods.  Upon your request, we will provide you with the date, time, and place of each trial and production run.  If you or your bonded agent fails to so attend any trial or production runs, then you waive and release any claims against us for errors or omissions in printing, printing quantities, packing of goods, or shipment of goods which could have been discovered by you or your bonded agent at such trial or production runs.
